1. Who these Terms cover

These Terms of Sale and this Refund Policy (the “Terms”) apply when you buy a StormDesigner license.

The Software is licensed by David Book, doing business as StormDesigner, Dana, North Carolina, United States (“StormDesigner,” “we,” “us,” or “our”).

Checkout, payment, invoicing, tax collection, and related billing are handled by Polar Software, Inc. (“Polar”) as merchant of record. You purchase the paid order from Polar. The license to install and use the Software is granted by StormDesigner under these Terms and the End User License Agreement.

“You” means the individual or the company on whose behalf the purchase is made. If you buy for a firm, you represent that you have authority to bind that firm.

2. Related documents

By completing checkout, paying, installing the Software, or activating a license key, you agree to these Terms.

These Terms work with:

  • the StormDesigner End User License Agreement (“EULA”) published at https://www.stormdesigner.net;
  • the StormDesigner Privacy Policy published on stormdesigner.net; and
  • Polar’s Checkout Buyer Terms at https://polar.sh/legal/checkout-buyer-terms, which govern the payment Polar processes as merchant of record.

If these documents conflict on Polar’s checkout, tax collection, invoicing, or Polar’s processing of a payment, Polar’s Checkout Buyer Terms control that Polar issue. The Refund Policy in Section 9 is the refund policy that applies to StormDesigner orders, except where law or card-network rules require Polar to issue or deny a refund. If they conflict on license rights, permitted use, professional reliance, or ownership of the Software, the EULA and these Terms control.

These Terms do not sell you the Software. They sell you a paid order that entitles you to a limited license. Title to the Software remains with StormDesigner.

License rights, professional use, ownership, acceptable use, export, and indemnity are in the EULA. These Terms cover price, Polar, tax, delivery, renewal, cancel, refund, and chargebacks.

3. Products

These Terms apply to StormDesigner desktop software and the included Autodesk Civil 3D plugin, sold as a paid yearly Polar subscription. Designer is one named seat. Studio is ten named seats on one order. Office and other custom work are sold only under a separate written Order.

Autodesk Civil 3D and other CAD platforms are licensed by their publishers and are not included.

These Terms do not apply to a free evaluation license. An evaluation, if we issue one, is granted separately, typically for 30 days, does not require a card, and does not convert automatically to a paid Polar subscription.

4. Eligibility

You must be at least 18 years old and able to form a binding contract. StormDesigner is professional civil-engineering software. We may refuse, cancel, or limit an order if we reasonably believe the purchaser is ineligible, the payment is unauthorized, or the order presents fraud, abuse, or export-control risk.

5. Prices and taxes

The price you pay is the price displayed at Polar checkout for the selected plan, term, and number of seats, plus any taxes Polar is required to collect. Unless checkout says otherwise, prices are in United States dollars and are billed in advance for the full Subscription Term.

Polar, as merchant of record, determines and remits applicable sales, use, VAT, GST, and similar taxes based on the information available at checkout. You are responsible for any taxes Polar does not collect. You must provide accurate billing, company, and tax-location information.

We may change list prices for future terms. A price change does not alter a term you have already paid.

6. Payment

Payment is due at checkout for the initial term and on each renewal date for later terms. By submitting payment details, you authorize Polar and its payment processors to charge the selected payment method for the initial order and for each renewal until you cancel.

If a charge fails, Polar may retry the payment method. If the charge cannot be completed, we may suspend license validation or Software access after a short grace period. You remain responsible for amounts that came due before suspension or cancellation.

Receipts and invoices are issued electronically, typically by Polar to the email used at checkout.

7. Subscription term, auto-renewal, and cancellation

7.1 Term

The Subscription Term is one year, as shown at Polar checkout. Access continues for that paid term so long as you comply with these Terms and the EULA.

7.2 Automatic renewal

YOUR SUBSCRIPTION RENEWS AUTOMATICALLY AT THE END OF EACH SUBSCRIPTION TERM FOR A SUCCESSIVE TERM OF THE SAME LENGTH, AT THE THEN-CURRENT PRICE, UNLESS YOU CANCEL BEFORE THE RENEWAL DATE.

Before you complete the first purchase, Polar checkout will display the price, the renewal frequency, that charges recur until you cancel, and how to cancel. By completing the purchase you authorize those recurring charges.

Polar provides renewal reminders as required by applicable law and Polar’s checkout terms. Polar’s reminder schedule is Polar’s. Do not rely on a StormDesigner reminder unless we send you one.

7.3 How to cancel

You may cancel at any time, for any reason, effective at the end of the current paid Subscription Term. Cancellation stops the next renewal. It does not, by itself, end access during time you have already paid for.

Cancel in the Polar customer portal, or email support@stormdesigner.net and, if needed, support@polar.sh, and include the order ID, account email, and a request to cancel auto-renewal.

We will confirm cancellation. Cancel at least one day before the renewal date to avoid the next charge.

7.4 Effect of cancellation

After a timely cancellation:

  • no further renewal charges are billed;
  • the license remains valid through the end of the current paid Subscription Term;
  • when the term ends, license validation stops and you must stop using the Software, except as the EULA allows for your own Project Files; and
  • fees already paid for the current term are not refunded except as Section 9 provides or as law requires.

7.5 Adding seats and plan changes

If we offer additional seats or a plan change at checkout or in a written Order, you pay the amount shown there. Unless that checkout or Order states a prorated charge, a new seat is a new paid term. Downgrades take effect at the next renewal unless we agree otherwise in writing. Changing plans does not, by itself, create a refund of the current term.

8. Delivery

After Polar confirms payment, the checkout thanks page will offer the Software download. StormDesigner will then email the Polar license key or keys for the purchased seats to the email used at checkout, after those seats are claimed. Polar will send Polar’s receipt separately.

Delivery of the license is complete when we transmit the key email to that address. You are responsible for a working email address, installing the Software on compatible hardware, and keeping a valid Autodesk Civil 3D license if you use the plugin.

If credentials do not arrive, check spam and the Polar receipt, then email support@stormdesigner.net with the order ID. If we cannot deliver a working license within a reasonable time after a complete, paid order, your remedy is replacement credentials or a refund of the amount paid for the undelivered license.

9. Refund Policy

This Section 9 is StormDesigner’s Refund Policy. It applies to paid StormDesigner orders processed through Polar. It does not reduce rights you cannot waive under consumer-protection law.

9.1 Fourteen-day first-purchase guarantee

If this is your firm’s first paid StormDesigner subscription — not a renewal, extra seat added to an existing term, or replacement key — you may request a full refund of the amount paid for that first order within 14 days after the purchase date.

To request that refund:

  • write as described in Section 9.5;
  • stop using the Software and deactivate or surrender the license key when we request it; and
  • do not keep copies of the installer for continued use after the refund is issued.

We may decline a first-purchase refund if we reasonably determine that the request is abusive (for example, repeated purchase-and-refund cycles, license sharing, or finishing a production deliverable and then reversing the order), or if the license was obtained by fraud.

9.2 Renewals and unused time

Except as required by law or as provided in Section 9.3, renewal charges and fees for a Subscription Term that has already started are not refunded. Cancellation stops the next renewal. It does not create a prorated credit for unused days in the current term.

9.3 Refunds we will issue

We will refund, or ask Polar to refund, the affected amount when:

  • you make a valid first-purchase request under Section 9.1;
  • you were charged twice for the same order, or charged an amount other than the amount shown at checkout;
  • we failed to deliver license credentials and cannot cure that failure;
  • the Software is materially non-conforming to the written product description in a way we cannot reasonably remedy, and law or these Terms require a refund rather than a fix; or
  • a refund is required by applicable law or by Polar acting as merchant of record under card-network rules.

9.4 Requests we may decline

Unless law requires otherwise, we may decline a refund when:

  • the 14-day first-purchase window has expired;
  • the charge is a renewal;
  • you request a prorated refund solely because you stopped using the Software mid-term;
  • the license was used in violation of the EULA (including unauthorized sharing, reverse engineering, or commercial redistribution);
  • you already received a refund for the same order; or
  • the request is for third-party software, hardware, or an Autodesk license you purchased separately.

9.5 How to request a refund

Email support@stormdesigner.net. You may also contact Polar at support@polar.sh or reply to your Polar receipt. Include:

  • Polar order ID or receipt number;
  • the email address used at checkout;
  • product name and purchase date;
  • a short statement of the reason; and
  • for delivery problems, a description of what you received or failed to receive.

We will acknowledge complete requests as soon as we can and aim to decide them within 10 business days. Approved refunds are issued by Polar to the original payment method. Bank and card networks often take 5 to 10 business days to post the credit. Polar’s own processing fees on the original transaction are not returned to StormDesigner. Polar does not deduct those fees from the amount credited to you.

When a refund is approved, we will revoke or deactivate the associated license. Refunding a subscription charge does not always end the subscription by itself. If you also want access to stop immediately, say so in the request so we can cancel the subscription in Polar.

9.6 Polar’s authority

Polar, as merchant of record, may issue a full or partial refund under Polar’s policies and card-network rules, including to limit chargebacks, even if our policy would point the other way. Polar’s decision on a transaction it processed does not expand or reduce your license rights except that a full refund of an order will terminate the license funded by that order.

9.7 Evaluations

If we offer a free evaluation, it is not a paid purchase and is not refundable. Evaluation access is issued by StormDesigner on request, including through the Support form on stormdesigner.net. It does not automatically convert to a paid Polar subscription. The 14-day first-purchase window in Section 9.1 begins on the date of the first paid Polar charge.

10. Chargebacks

If a charge looks wrong, email support@stormdesigner.net and Polar before filing a card chargeback. Many billing issues can be corrected faster that way.

You retain any chargeback rights your card issuer provides. If you initiate a chargeback for a validly authorized and delivered order, we and Polar may send Polar’s order record, delivery mail, these Terms, and license-activation records to the card network. If a chargeback reverses a paid order, the license funded by that order ends and you must stop using the Software.

11. License — summary

The full license is in the EULA. In summary, a paid, active subscription grants a limited, non-exclusive, non-transferable, revocable license to install and use StormDesigner, including the Civil 3D plugin, during the Subscription Term for the number of named seats you purchased, for your internal professional work.

Each named seat is one Polar license key for one Authorized User and may be active on one computer at a time. You may not sell, rent, sublicense, or publicly redistribute the Software; share one seat across people; run a floating or concurrent pool; circumvent license validation; or reverse engineer the Software except to the limited extent applicable law prohibits that restriction.

Project files, reports, and calculations you generate remain yours. The Software, templates, calculation engines, and documentation remain ours.

Professional use, sealing, and engineering responsibility are in the EULA. We do not practice engineering on your behalf by selling you a license.

12. Support

Paid terms include email support at support@stormdesigner.net for installation, licensing, and product use. We aim to respond within two business days. That is an aim, not a guaranteed response time. Support is not project design, sealing, or engineer of record.

13. Suspension and termination

You may stop using the Software at any time. Cancellation of auto-renewal is described in Section 7.

We may suspend or terminate a license if you materially breach these Terms or the EULA and do not cure the breach within 10 days after notice (or immediately for fraud, non-payment after failed retries, or a security threat). Amounts already due remain payable. If we terminate for convenience during a paid term, we will refund a prorated portion of the prepaid fee for the unused part of that term.

On termination or expiration you must stop using the Software. Ownership, professional disclaimer, warranty disclaimer, limitation of liability, indemnification, and governing law in the EULA survive.

14. Privacy

We collect account, license, and support information as described in the StormDesigner Privacy Policy. Polar collects and processes payment data as merchant of record under Polar’s privacy policy. License validation may periodically contact our licensing service to confirm that the subscription is active.

15. Changes

We may update these Terms from time to time. The “Last updated” date will change. Material changes will be posted on stormdesigner.net and, where required, emailed to the address on the order. Changes apply to new purchases and to renewals that occur after the effective date of the change. They do not retroactively reduce refund rights that already accrued on an earlier order.

16. Governing law

These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law rules, and by applicable United States federal law. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Exclusive venue is as stated in the EULA (state courts of Henderson County, North Carolina, and the United States District Court for the Western District of North Carolina). Nothing in these Terms waives a party’s right to a jury trial. Under N.C. Gen. Stat. § 22B-10, a contractual jury-trial waiver is unenforceable.

Before filing a lawsuit, you agree to email support@stormdesigner.net a short written notice of the dispute and to allow 30 days for a good-faith attempt to resolve it, unless waiting would cause irreparable harm or a limitations period would expire.

These Terms, the EULA, the order confirmation, and the Polar Checkout Buyer Terms as they apply to payment are the entire agreement for the purchase of the Software. Polar’s Checkout Buyer Terms control Polar checkout, tax, and Polar’s processing of a payment. Section 9 controls StormDesigner refunds except where law or card-network rules require Polar to act otherwise. The EULA controls license rights.

We may assign these Terms to a successor that acquires the product line. You may not assign a license without our written consent, except to a successor of your firm that assumes the remaining term. Failure to enforce a provision is not a waiver. Notices to you may be sent to the email on the order. Notices to us must be sent to support@stormdesigner.net and, for legal notices, also to info@stormdesigner.net.

These Terms do not cut rights you cannot waive under law.
